Terms of Service
Effective date: July, 2026
These Terms govern remote video editing and post-production services, including project intake, source-file transfer, editing, reviews, revisions, final exports, payment, rights, and digital delivery.
1. Acceptance of Terms
These Terms of Service govern access to the Montavise Edits website and the purchase or use of remote video editing and post-production services. By submitting a request, approving a quote, making a payment, providing source materials, or using the website, the client agrees to these Terms and any project-specific written terms.
2. Services
Services may include short-form social media video editing, YouTube video editing, promotional video editing, video repurposing, footage organization, pacing, basic audio cleanup, basic color correction, title or text placement, export preparation, and related post-production tasks stated in an approved scope. Services do not include filming, physical production, actor or talent management, music licensing, legal clearance, advertising placement, guaranteed audience growth, or platform distribution unless expressly stated in writing.
3. Quotes and Project Scope
Website prices are starting prices and may not apply to every project. A quote may depend on source footage volume, final runtime, editing complexity, number of outputs, aspect ratios, caption requirements, graphics, audio condition, deadline, and revision allowance. The approved quote or written confirmation defines the binding scope.
Requests outside the approved scope may require a new quote, additional payment, or adjusted schedule. Work is not required to continue on expanded tasks until the change is confirmed.
4. Client Eligibility and Authority
The client must be legally capable of entering an agreement and must have authority to act for any business, organization, or rights holder represented. The client is responsible for accurate contact, billing, and project information.
5. Client Materials
The client must provide usable source files, complete instructions, references, brand assets, licensed music or media, and any necessary permissions. The client represents that it owns or has sufficient rights to all supplied materials and that editing, storage, and delivery will not infringe third-party rights or violate law.
The studio may refuse materials reasonably believed to be unlawful, infringing, deceptive, abusive, hateful, exploitative, or technically unsafe.
6. Scheduling
Estimated timelines begin only after the required payment, source materials, and project direction have been received. Delays in client materials, feedback, approvals, access permissions, or payment may move the schedule. Rush work is subject to availability and may require additional fees.
7. Revisions and Approval
Revision rounds are limited to the number stated in the service description or approved quote. Feedback must be clear, consolidated, and provided within the requested review period. New concepts, replacement footage, substantial restructuring, or changes to approved direction may be treated as additional work.
Final approval may be expressed in writing, by acceptance of a final review version, by instruction to export, or by use or publication of the delivered video.
8. Payment
Payment requirements are described in the Payment and Billing Policy and the applicable quote. The studio may pause work, withhold final files, or cancel a project where payment is overdue.
9. Delivery
Final files are delivered digitally in the agreed formats. The client must download, inspect, and back up files promptly. Platform processing, compression, upload performance, or changes made after delivery are outside the studio’s control.
10. Intellectual Property
Ownership and license terms are governed by the Copyright, Content Licensing and Intellectual Property Policy and any project-specific agreement. Client materials remain the client’s or relevant rights holder’s property. The studio retains its pre-existing tools, templates, methods, know-how, and reusable production systems.
11. No Guaranteed Results
The studio provides editing services but does not guarantee views, engagement, sales, conversions, platform approval, monetization, search ranking, audience growth, or commercial success.
12. Limitation of Liability
To the fullest extent permitted by law, the studio is not liable for indirect, incidental, special, consequential, or lost-profit damages, lost opportunities, platform actions, third-party claims arising from client materials, or loss caused by the client’s failure to maintain backups. Aggregate liability relating to a project will not exceed the amount actually paid for the specific service giving rise to the claim, except where such limitation is prohibited by law.
13. Indemnity
The client agrees to defend, indemnify, and hold the studio harmless from claims, losses, costs, and expenses arising from client-supplied materials, missing permissions, unlawful instructions, misrepresentations, or use of final deliverables outside the agreed rights.
14. Suspension and Termination
The studio may suspend or terminate services for nonpayment, abusive conduct, repeated failure to provide required information, unlawful content, security concerns, or material breach. Amounts earned and non-refundable costs remain payable.
15. Governing Law
Unless a mandatory law requires otherwise, these Terms are governed by the laws applicable in Colorado, United States, without regard to conflict-of-law rules. The parties should first attempt to resolve disputes through good-faith written communication.
16. Entire Agreement
These Terms, incorporated policies, approved quotes, invoices, and written project confirmations form the agreement between the parties. Project-specific terms control where they directly conflict with general website terms.
17. Source Footage Review and Technical Feasibility
A quote may be conditioned on review of the actual source files. The studio may revise timing or pricing when footage differs materially from the description, uses unsupported codecs, contains missing media, requires substantial synchronization, or presents quality issues not reasonably visible before upload.
18. Use of Review Platforms
The studio may use a secure review platform or private link to collect comments and approvals. The client must protect access links and ensure that only authorized reviewers receive them. Comments left by an authorized reviewer may be treated as client instructions.
19. Artificial Intelligence and Automated Features
Automated features may be used for technical tasks such as transcription, caption timing, noise reduction, media organization, or format conversion. The studio remains responsible for the editing service stated in the scope, while the client remains responsible for the legality and accuracy of supplied content and final claims.
20. Non-Solicitation of Production Resources
Where the studio introduces a contractor, editor, or production resource specifically for a project, the client should not knowingly bypass the studio to engage that resource for substantially similar work during the project and for six months after project completion without written consent, except where prohibited by law.
21. Force Majeure
Neither party is responsible for delay or failure caused by events beyond reasonable control, including power failure, internet outage, natural disaster, war, civil disturbance, governmental action, labor interruption, illness, platform outage, cyber incident, or failure of a critical third-party service. Obligations will resume when reasonably possible.
22. Electronic Communications and Signatures
Email, project-platform messages, online approvals, electronic invoices, and electronic signatures may be used to form and administer the agreement. The client is responsible for maintaining accurate contact information and monitoring the communication channels used for the project.
23. Assignment
The client may not assign the agreement or transfer project rights before full payment without written consent. The studio may assign administrative or payment rights or use qualified contractors to perform portions of the service while remaining responsible for the agreed deliverables.
